These Terms & Conditions govern the use of services provided by The Design Shop. By engaging our services, you agree to be bound by these terms.
1. Scope of Services
The Design Shop provides website design, branding, and related creative services as agreed in writing (email, proposal, or invoice). Any services outside the agreed scope shall be charged additionally.
2. Payments & Fees
- All fees are payable in advance or as agreed
- Prices are exclusive of applicable taxes unless stated
- No refunds shall be provided once work has commenced
- Delayed payments may result in work suspension
3. Project Timelines
Delivery timelines are estimates and dependent on:
- Timely receipt of content, approvals, and feedback
- Scope stability
The Company shall not be liable for delays caused by client inaction or third-party dependencies.
4. Revisions & Changes
- Two (2) revision rounds are included unless otherwise agreed
- Additional revisions, feature additions, or scope changes will be billed separately
5. Client Obligations
The client warrants that:
- All materials provided are legally owned or licensed
- No third-party intellectual property rights are infringed
- Content supplied is lawful and non-defamatory
The Company shall not be responsible for legal claims arising from client-provided content.
6. Intellectual Property Rights
- Ownership of final deliverables transfers only after full payment
- The Company retains rights to pre-existing frameworks, design systems, and tools
- The Company may display completed work for portfolio and marketing purposes unless objected in writing
7. Third-Party Tools & Services
The Company is not liable for failures or issues caused by:
- Hosting providers
- Plugins or integrations
- Third-party software or platforms
8. Limitation of Liability
To the maximum extent permitted by law:
- The Company's liability shall not exceed the amount paid for the service
- The Company shall not be liable for indirect, incidental, or consequential damages
9. Termination
The Company may terminate services if:
- Payments remain unpaid
- The client breaches these terms
- The client engages in abusive, unethical, or illegal conduct
Upon termination, fees paid shall be non-refundable.
10. Force Majeure
The Company shall not be liable for delays or failure caused by events beyond reasonable control, including but not limited to natural disasters, internet outages, or governmental actions.
11. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Courts located in India shall have exclusive jurisdiction.
